1. Acceptance of Terms

By accessing and using the services provided by Zenova Tech Labs Pvt Ltd ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Zenova Tech Labs provides software development services including but not limited to MVP development, web and mobile application development, enterprise solutions, e-commerce platforms, web scraping services, and digital marketing. Specific terms for individual projects will be outlined in separate agreements or statements of work.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information required for project execution
• Respond to communications and provide feedback in a timely manner
• Make payments according to agreed-upon schedules
• Ensure you have the rights to any content or materials you provide
• Not use our services for any unlawful purpose

4. Intellectual Property

Upon full payment, clients receive ownership rights to the custom code and deliverables created specifically for their project, unless otherwise specified in the project agreement. We retain ownership of our proprietary tools, frameworks, and pre-existing code that may be incorporated into projects.

5. Payment Terms

Payment terms, including project costs, payment schedules, and accepted payment methods, will be specified in individual project agreements. Late payments may result in project suspension or additional fees as outlined in the specific agreement.

6. Confidentiality

We treat all client information and project details as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law. Clients are similarly expected to maintain confidentiality regarding our proprietary methods and tools.

7. Limitation of Liability

To the maximum extent permitted by law, Zenova Tech Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services. Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim.

8. Warranties and Disclaimers

We provide our services on an "as is" basis. While we strive for excellence in all our work, we make no warranties regarding the specific results or outcomes of our services. We provide a warranty period for bug fixes as specified in individual project agreements.

9. Termination

Either party may terminate services according to the terms specified in the project agreement. Upon termination, you are responsible for payment for all work completed up to the termination date.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, India.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.
